For Intermediaries
About Brightleaf Holdings
Brightleaf Holdings is a holding company that acquires and builds small businesses over the long-term. Started by a founder with a background as a small business leader and private equity investor, Brightleaf Holdings brings committed capital and extensive investment and operations experience to its relationships with investment bankers, business brokers and other intermediaries.
Committed capital
We are internally funded. We invest capital generated by our operating companies and do not raise third-party equity.
Experienced investors
We have made a dozen investments. We are professional, provide quick responses, and can assure certainty to close.
Experienced operators
We own and operate multiple businesses. Our experience ensures that our partners will be proud of how their company is run post-closing.
Unique type of buyer
We’re not a private equity fund. We’re not a search fund. We’re not a first-time buyer or first-time operator. We are a holding company that invests for decades.

We welcome the opportunity to work with any and all intermediaries.

On this page you will find answers to some of the most frequently asked questions we receive from intermediaries.
Brightleaf Holdings has committed, permanent capital. This capital will fund the equity portion of any acquisition. Brightleaf Holdings may also decide to use a reasonable amount of seller or bank debt to help finance the acquisition.
Brightleaf Holdings seeks to acquire companies with between $1 million and $3 million of EBITDA / cash flow.
No. Brightleaf Holdings funds acquisitions with internal capital generated by its portfolio companies. We do not raise outside capital and do not require third-party approvals to fund an equity investment. Our capital is committed and we are ready to complete a transaction.
The holding company structure allows us to be the permanent home for great businesses and teams. We are not constrained by a fund life, so we don’t have to “flip” an investment 3-5 years after we make one. The long-term vision enables us to think about building businesses over decades, not just fundraising cycles. We invest in people, we partner with loyal customers, and make investments in the long-term success of businesses – all things made more difficult when an investor has pressure to sell an investment a few years later.
Yes. Grant McClure or one of Brightleaf Holdings’ executives will move to the location of the business and be involved in the day to day operations of the business.
