Brightleaf Holdings is a holding company that acquires and builds small businesses over the long-term. Started by a founder with a background as a small business leader and private equity investor, Brightleaf Holdings brings committed capital and extensive investment and operations experience to its relationships with investment bankers, business brokers and other intermediaries.

How does Brightleaf Holding plan to finance an acquisition?

Brightleaf Holding has committed, permanent capital. This capital will fund the equity portion of any acquisition. Brightleaf Holding may also decide to use a reasonable amount of seller or bank debt to help finance the acquisition.

What size investments does Brightleaf Holding target?

Brightleaf Holding seeks to acquire companies with between $1 million and $3 million of EBITDA / cash flow.

Will Brightleaf Holding need to raise equity or find investors to complete a transaction?

No. Brightleaf Holdings funds acquisitions with internal capital generated by its portfolio companies. We do not raise outside capital and do not require third-party approvals to fund an equity investment. Our capital is committed and we are ready to complete a transaction.

How does Brightleaf Holding being structured as a holding company impact its business?

The holding company structure allows us to be the permanent home for great businesses and teams. We are not constrained by a fund life, so we don’t have to “flip” an investment 3-5 years after we make one. The long-term vision enables us to think about building businesses over decades, not just fundraising cycles. We invest in people, we partner with loyal customers, and make investments in the long-term success of businesses – all things made more difficult when an investor has pressure to sell an investment a few years later.

Does Brightleaf Holding have an operations plan for acquired businesses?

Yes. Grant McClure or one of Brightleaf Holdings’ executives will move to the location of the business and be involved in the day to day operations of the business.
